Status
Article 1 - Name - legal form
There is founded between the members of the present statutes an association governed by the Moroccan law n ° 75/2000 promulgated by Dahir n ° 1.02.206 of 23 July 2002 published in the official bulletin n ° 50-48 of October 17, 2002 having for denomination: "FEDERATION OF URBAN AGENCIES OF MOROCCO". This non-profit association is a non-governmental, non-political, religious organization with autonomous legal personality and distinct legal independence.
Article 2 - Purpose
The main objectives of this association of Urban Agencies are to promote partnership, national and international cooperation and the exchange of information and expertise between public authorities responsible for town planning, administrations, public and private organizations and others Components of civil society. Its main ambitions are to:
- Promote and disseminate knowledge gained in areas that contribute to the management, development and development of territories;
- Share experiences and policies to meet the basic needs and aspirations of the people;
- Encourage and encourage all studies or joint research likely to contribute to a better organization of urban and rural spaces, improvement of the environment and the living conditions of populations;
- Promote the pooling of resources and the synergy of the efforts of the Urban Agencies in order to carry out actions of common interest (studies and training, cooperation and communication, social actions, etc.);
- Improve territorial intervention and management procedures and mechanisms;
- Consolidate exchanges, cooperation and consultation between members on the one hand and members and partners at national and international level on the other;
- Establish joint programs for the upgrading and further training of the staff of the member entities;
- Inform, communicate and raise awareness among members and partners on issues related to the sector.
Article 3 - Headquarters
The headquarters of the association is located in Rabat, at the seat of the government authority in charge of urban planning. It may be transferred by simple decision of the Association office.
Article 5 - Resignation and Termination
Membership is lost by:
- Resignation
- Cancellation which may be proposed by the Association's office by a qualified majority of ¾ of its members present or represented, for non-compliance with the rules laid down in the statutes. It is pronounced by the General Assembly of the Association.
- exclusion on grounds of discretion, the gravity of which is assessed jointly with the active or associate member concerned, by the general meeting.
- non-payment of contributions at maturity after failure to give due notice of eight months.
Article 6 - Resources
The association's resources essentially consist of the contributions of its members. They may be supplemented by grants, donations, bequests granted to the Association, and any remuneration received in return for any works or services provided by it to third parties, as well as any contributions and resources intended to enable the Association To carry out activities in accordance with its objectives.
Article 7 - Contributions
Active members pay contributions according to a scale set by the General Assembly. Associate members pay their dues according to a scale and conditions determined by the Association's office.
Article 8 - Congresses and meetings
In accordance with its purpose, as defined in Article 2 above, the Association shall periodically convene a congress and meetings on the basis of themes proposed by the Bureau of the Association.
They are inspired by the wishes expressed by the General Assembly. The Association may sponsor meetings of some of its members on specific themes. They are open to all members of the Association who so wish and their findings are made known to its members.
Article 9 - Structure of the Association
The organs of the Association are: the General Assembly and its office.
Article 10 - General Assembly
The General Assembly is composed of active members. The latter alone shall have the right to vote. Associate members are invited to participate in the discussions of the General Assembly and its committees.
They shall be kept informed of all the work of the Assembly; They may be responsible for preparing technical reports on specific subjects.
The General Assembly is convened by the President of the Association in accordance with the regulations in force. At least fifteen days before the appointed date, the members of the Association shall receive the summons with the order of the day.
The President, assisted by the members of the office, presides over the General Assembly and sets out the moral position of the Association.
The Treasurer reports on the management and submits the balance sheet to the approval of the Assembly which issues him with good management after presentation of the approved accounts.
After the agenda has been exhausted, the members leaving the Bureau of the Association shall be replaced by secret ballot.
The General Assembly shall deliberate matters proposed by the office on the agenda and other matters agreed to by the General Assembly. It proposes to the Bureau themes for further meetings.
The General Assembly can validly deliberate only if half of the active members of the Association are present. Decisions are taken by a simple majority of the active members present.
In the absence of a quorum, a new meeting is convened and may then deliberate without quorum constraint.
Article 11 - Extraordinary General Assembly
The President may, at his own initiative or at the request of one-half and one of the active members, convene an Extraordinary General Assembly, in accordance with the formalities laid down in Article 10.
The Extraordinary General Meeting can validly deliberate only if 2/3 of the active members of the Association are present. If this quorum is not reached, a second Assembly is convened in the same form two months later. The decisions of this Extraordinary General Assembly are then taken by an absolute majority of the active members present.
Article 12 – Association membres
The Association is headed by an office of 9 active members elected by the General Assembly. Members may be reelected by one third every two years.
The Constituent Assembly decides in advance the formation of the first office among the founding members.
The Bureau shall meet at least once every three quarters at the invitation of the Chairman or at the request of one-third of its members.
At the first meeting, the deliberations of the office may be legally validated only in the presence of a majority of its members. Should the quorum not be obtained, a new meeting of the board will be convened, which may validly deliberate among the members present, without the requirement of a quorum.
Decisions are taken by a majority of votes; In the event of a tie, the chairman shall have the casting vote.
Any member of the office who, without excuse, has not attended three consecutive meetings may be considered as having resigned. The Board votes the Association's budget. This is brought to the attention of all members of the Association on the occasion of the General Assembly.
The office consists of:
- A President
- A Vice-President
- A Secretary-General
- A Treasurer
- A Vice-Treasurer
- Four assessors.
The term of office expires immediately after the election of the new office.
Article 13 - The President
The President shall be elected in his personal capacity by the members of the office of the Association for an equal period or term of office. He is eligible for re-election. In the event of a vacancy, change in the course of a term of office or a duly established incapacity, the office shall appoint a new chairman for the period of time remaining for the previous term.
The president represents the Association in all the acts of the civil life is invested with all the powers to that effect, likewise that are granted to him the powers to be in court as well as in demanding that defending before the jurisdictions of the Kingdom, after consulting the office member.
Article 14 - Permanent Secretary
A Permanent Secretary is established, which has an administrative department. The secretary is responsible for developing and coordinating relations between the members and for following the work of the General Assemblies of the office. The Secretary shall be managed by a Delegate appointed by the office of the Association.
Article 15 - Rules of Procedure
The rules for the application of the present statutes are laid down in an internal regulation drawn up by the office for submission to the General Assembly for approval.
Article 16 - Modification of the statutes
Any active member of the Association may propose changes to the by-laws to the office, the articles of association may be amended by the Extraordinary General Meeting, provided that such modifications are proposed to its members three months before and are in conformity with the objectives defined in the above- Article 2. The new Statutes shall enter into force immediately after the vote of the Extraordinary Assembly.
Article 17 - Dissolution
In the event of dissolution by at least two thirds of the active members present at the General Meeting, one or more liquidators shall be appointed by the General Meeting and the assets, if any, shall vest in accordance with the texts in force.
Article 18 - Administrative formalities
The Association shall appoint one of its members to fill in the administrative formalities for the obtaining of the final receipt with the competent authority after delivery of the documents relating to the name and purpose of the Association At its headquarters, to the list of senior members including names, forenames, nationality, date and place of birth, profession and domicile of the members accompanied by copies of each national identity card and the judicial record.
